Form 10-Q: The SEC Quarterly Report
Three times a year, on a tighter clock than the 10-K. We convert your quarterly report, tag it in Inline XBRL, send you a proof, and file it on time — every quarter.
We prepare and file your 10-Q
Form 10-Q is the quarterly report domestic issuers file for each of the first three fiscal quarters — there's no Q4 10-Q, because the year-end quarter is covered by the Form 10-K. It carries unaudited interim financial statements, MD&A, and the CEO/CFO certifications.
Send us your draft in Word and Excel. We convert it to compliant EDGAR HTML, tag the financials and cover page in Inline XBRL, assemble the certifications, and send you a proof before filing. Because we handle the same issuers quarter after quarter, each subsequent 10-Q gets faster.
Volume rates for active issuers. Revisions to the proof are included.
When is a 10-Q due?
The deadline runs from the end of the fiscal quarter and depends on your filer category:
| Filer category | 10-Q deadline |
|---|---|
| Large accelerated & accelerated filers | 40 days after quarter-end |
| Non-accelerated filer | 45 days after quarter-end |
Running late? Filing a Form 12b-25 (NT 10-Q) by the due date buys an extra 5 calendar days. Check your exact date with our EDGAR due dates calculator, and mind SEC holidays and EDGAR hours.
How the 10-Q differs from the 10-K
The 10-Q is lighter: financial statements are unaudited (though subject to auditor review), disclosure is limited to updates, and only material changes to risk factors and legal proceedings need reporting.
The tight 40/45-day window is what catches filers out — the work is smaller, but the clock is shorter.
Amendments & corrections
Need to correct a filed 10-Q? It's amended on Form 10-Q/A. We prepare amendments too — including restated XBRL where the numbers changed.
Foreign private issuers don't file 10-Qs — their interim vehicle is the Form 6-K.
Common questions
Is XBRL required on a 10-Q?
Yes — the interim financial statements and cover page must be tagged in Inline XBRL, the same as a 10-K. Tagging is part of our standard service.
How much does it cost?
It depends on the filing — contact us for a quick quote. There's no SEC fee on a 10-Q; you pay for preparation and submission, and conversion is included.
I'm on a deadline — can you file today?
Often yes. We handle same-day and after-hours filings within EDGAR's window. Call us early in the day and we'll make room.
